Before filing, define whether the entity will trade, provide services, invest, hold a project or operate locally. That decision affects documents, banking, tax administration and ongoing cost.
1. Define the commercial purpose
The stated activity should match what the company will actually do. An entity without an operating plan may face avoidable questions in banking, accounting and commercial relationships.
- What is the main product or service?
- Are clients in Armenia or abroad?
- Will local staff, office, storage or a sector licence be required?
2. Set ownership and management rules
Partners, shares, the responsible manager and decision-making powers should be agreed before documents are signed. Verbal understandings are not enough for future disputes.
- Manager authority
- Contract and payment approvals
- Entry or exit of a partner
3. Separate filing cost from operating cost
The real cost includes accounting, reporting, banking, address, staff and possible permits—not only the registration fee.
4. A bank account is not automatic
Each bank performs its own review and may ask about activity, source of funds, owners and expected transactions. Clear documents and an explainable business model matter.
Practical checklist
Write down the objective, budget, partner roles, banking plan and accounting responsibility before paying fees or signing a power of attorney. Verify current official requirements close to the filing date.
